Terms and Conditions
This section sets out the standard working terms for the project. These terms protect both the Client and 2020Vision and confirm how the relationship works during and after the build.
Definitions
The Client. “The Client” means the individual, business or organisation named in this proposal who accepts these terms, whether by signature or by payment of the deposit.
Days. Unless a specific clause expressly says otherwise, all references to days in this section mean business days. Business days exclude Saturdays, Sundays, and public holidays in the Republic of South Africa.
Payment Terms
60% deposit on acceptance of this proposal. The deposit secures the project slot in the 2020Vision studio calendar and covers the planning, content collection, design direction and build phases. Work begins once the deposit reflects.
Acceptance by deposit payment. Payment of the 60% deposit is deemed acceptance of this proposal and these terms and conditions, even if the agreement has not been signed in writing. The Client is bound by this agreement from the date the deposit reflects in the 2020Vision bank account.
40% balance on project completion. Payable on sign-off of the completed website and before the site is migrated to the Client’s live hosting environment.
Invoicing. All invoices are issued by 2020Vision Creative & Web Studio. Standard payment terms are 7 days from invoice date unless otherwise agreed in writing.
Late payment. If the final balance is more than 14 days overdue, 2020Vision reserves the right to suspend work, delay launch, or temporarily disable the website until payment is received.
Interest on overdue payments. Without limiting any other remedy, 2020Vision may levy interest on any overdue or late payments under this agreement, including the 40% balance and any care plan or ongoing fees. Interest will be calculated at the prime lending rate published from time to time by South African registered commercial banks, plus 2% per annum, from the due date until the date of full payment.
Care plans. Monthly care plan billing begins in the month following website launch and continues until cancelled in writing with 30 days’ notice.
Project Scope and Change Requests
Agreed scope. The work covered by this proposal is limited to the selected package, any agreed add-ons and the deliverables described in this document.
Out-of-scope work. Any additional features, design changes, content additions or requests that fall outside the agreed scope will be quoted separately and confirmed in writing before work begins.
Revision rounds. Each package includes two rounds of design revisions and two rounds of content revisions. Additional revision rounds are billed at the standard hourly rate or quoted as an add-on.
Content delays. If Client content (text, images, logos, brand assets or feedback) is delayed by more than 30 days, 2020Vision reserves the right to pause the project and reschedule the launch around the studio’s other commitments.
Project hold. If a project is placed on hold by the Client for more than 60 days, work may be paused and a re-start fee may apply to cover the time needed to bring the project back into the studio’s active schedule.
Ownership and Licensing
Final ownership. Full ownership of the completed website, content, design files and brand assets created for this project transfers to the Client on receipt of final payment.
Pre-final ownership. Until final payment is received, all work, files and source assets remain the property of 2020Vision Creative & Web Studio.
Third-party assets. Any premium plugins, stock imagery, fonts, licensed code or third-party services used in the build are licensed for use on the Client’s website only, in line with the original supplier’s terms. Some licences may be renewable annually at the Client’s cost.
Source files. Editable source files (design files, layered graphics, branded templates) are provided on request after final payment.
Hosting and domain. Hosting and domain registrations remain in the Client’s name and under the Client’s ownership. 2020Vision can assist with setup but does not hold these accounts on the Client’s behalf unless specifically agreed.
Portfolio and Promotion
Portfolio rights. 2020Vision reserves the right to showcase the completed website and related design work in the studio’s portfolio, on its own website, on social media, in proposals to future clients and in industry award submissions.
Credit link. A small, non-intrusive credit link to 2020Vision will be placed in the website footer. This can be removed on request as part of a once-off white-label fee.
Confidentiality. Any project information marked confidential will not be shared publicly. 2020Vision will use only the visible public-facing website and design work when showcasing the project.
Confidentiality and Data Handling
Mutual confidentiality. Both parties agree to keep commercially sensitive information shared during the project confidential, including pricing, internal documents, client lists and unpublished project details.
Data protection. Any personal information shared during the project will be handled in line with the Protection of Personal Information Act (POPIA). Login credentials, access details and client data will not be shared with third parties without written permission.
Backups. While 2020Vision takes reasonable care to back up project files during the build, the Client is responsible for maintaining its own backups of any content provided. A care plan is recommended for ongoing backup management after launch.
Warranties and Limitations
Post-launch support. Each package includes a defined post-launch support window (7 to 14 days depending on package) covering bug fixes and technical issues directly related to the build. This does not cover new feature requests, content changes or training.
Third-party services. 2020Vision is not liable for downtime, errors or service interruptions caused by third-party services such as hosting providers, email systems, plugins, domain registrars or external APIs.
Browser and device support. The website is tested and optimised for current versions of major browsers and standard mobile and desktop devices. Issues caused by outdated browsers, devices or operating systems fall outside the scope of support.
Liability cap. The total liability of 2020Vision Creative & Web Studio under this agreement is limited to the total fees paid by the Client for the specific project, excluding care plans and third-party costs.
Project cancellation. If the project is cancelled by the Client after work has commenced, the 60% deposit is non-refundable. Any work completed beyond the deposit value will be invoiced based on time spent.
Governing Law
This agreement is governed by the laws of the Republic of South Africa. Any disputes will first be addressed through good-faith discussion between the parties and, if unresolved, through mediation before any legal action is taken.
Non-Variation
No variation, amendment, addition, deletion, cancellation or novation of this agreement, or of any of its terms, will be of any force or effect unless it is reduced to writing and signed by both parties.
In short: 60% deposit secures the project, 40% on launch. The Client owns the completed work once paid in full. Anything outside the agreed scope is quoted separately. 2020Vision may showcase the work in its portfolio. Confidential and commercial information stays confidential.
